1. Acceptance of Terms

By creating an account, accessing, or using the web application provided by SparkyMinis Media-Tech LLP ("Company," "We," "Us"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

IF YOU DO NOT AGREE WITH THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

2. Description of Service

SparkyMinis is a productivity and business management suite designed for solopreneurs, freelancers, and small teams. The Service utilizes a Hybrid Data Architecture:

* Structured Data: Tools for invoicing, project management, and expense tracking are synchronized via our secure cloud for multi-device reliability.

* Files & Attachments: High-stakes files in the "Secure Vault" and receipt images prioritize local device storage. To prevent data loss, we provide an optional integration to back these up to your own private Google Drive ("Bring Your Own Cloud").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will not be liable to you or any third party for any such modification or discontinuance.

3. Account Registration and Security

3.1. Eligibility

You must be at least 18 years of age to use the Service. By registering, you warrant that you meet this age requirement.

3.2. Authentication

Access to the Service is authenticated via third-party Identity Providers (e.g., Google, Microsoft). You remain solely responsible for maintaining the confidentiality of your login credentials with these providers.

3.3. Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. User Content and Intellectual Property

4.1. Your Ownership

You retain full and exclusive ownership of all data, files, text, and information that you upload, generate, or store using the Service ("User Content"). We claim no intellectual property rights over the material you provide.

4.2. License to SparkyMinis

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to access, host, copy, transmit, and display your User Content solely as necessary to provide, support, and improve the Service (e.g., to synchronize your data between devices or generate an invoice PDF).

4.3. Data Sovereignty & Portability

We acknowledge your right to data sovereignty. The Service provides tools (e.g., "Export Bundle") to allow you to extract your User Content in a structured, machine-readable JSON format at any time.

4.4. Confidentiality & No-Access Guarantee

We do not share your User Content with any external entity. Furthermore, our internal support staff technically cannot access your private workspace data (invoices, expenses, vault files) without your explicit permission. We maintain strict technical barriers to ensure your privacy.

5. Acceptable Use Policy

You agree not to use the Service to:

* Violate any applicable national or international law or regulation.

* Store or transmit material that violates the intellectual property or privacy rights of third parties.

* Upload malicious code, viruses, or malware.

* Attempt to reverse engineer, decompile, or disassemble any portion of the Service's underlying technology.

We reserve the right to terminate your access immediately if you violate this policy.

6. Subscription and Billing

6.1. Fees

Certain features are available only with a Paid Plan. You agree to pay all fees associated with your selected Plan.

6.2. Billing Cycle and Renewal

Subscriptions are billed in advance via Razorpay. Subscriptions renew automatically unless cancelled through the "Settings" dashboard prior to the renewal date.

6.3. Refunds and Cancellations

All payments are non-refundable.

* Cancellation (Downgrade): You may cancel at any time. Your account remains on the Paid Plan until the end of the current billing cycle, then downgrades to the Free Plan.

* Data Limits: If a downgrade results in exceeding Free Plan limits, excess items will become Read-Only until you re-subscribe or reduce your usage.

7. Mandatory Verification and Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

USER RESPONSIBILITY FOR DATA ACCURACY:

* Pre-Transaction Verification: You are solely responsible for verifying the accuracy of all data entries—including tax rates, currency conversions, and contact details—before finalizing any transaction, invoice, or report.

* Post-Transaction Audit: You must review and confirm the accuracy of all entries after they are recorded to ensure no synchronization errors occurred.

* Experimental Features: "Smart Camera", "OCR", and "Gen AI Analytics" tools are experimental and provided for convenience. Gen AI Analytics features are deactivated by default and require manual activation in your security settings. You are solely responsible for manually verifying any data, insights, or suggestions generated by these tools before relying on them for financial, legal, or business purposes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKYMINIS SHALL ONLY BE LIABLE FOR DIRECT DAMAGES ARISING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

* No Indirect Liability: We are not liable for loss of profits, business opportunities, or "consequential" damages.

* Data Loss: While we provide backup tools, you are responsible for maintaining your own secondary backups (via our Google Drive integration). We are not liable for data lost due to user error or third-party service failures.

* Liability Cap: Under no circumstances shall our total liability exceed the total amount you paid to us in the six (6) months prior to the claim. For users on a Free Plan, our total liability is capped at ₹1,000 (One Thousand Indian Rupees).

9. Indemnification

You agree to defend, indemnify, and hold harmless SparkyMinis and its officers from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute arising out of these Terms shall be settled by binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.
