1. Acceptance of Terms

By creating an account, accessing, or using the web application provided by SparkyMinis ("Company," "We," "Us"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

IF YOU DO NOT AGREE WITH THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

2. Description of Service

SparkyMinis is a productivity and business management suite designed for solopreneurs, freelancers, and small teams. The Service provides tools for invoicing, project management, expense tracking, and contact management, utilizing a cloud-synchronized, local-first architecture.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. Account Registration and Security

3.1. Eligibility

You must be at least 18 years of age to use the Service. By registering, you warrant that you meet this age requirement.

3.2. Authentication

Access to the Service is authenticated via third-party Identity Providers (e.g., Google, Microsoft). You remain solely responsible for maintaining the confidentiality of your login credentials with these providers.

3.3. Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. User Content and Intellectual Property

4.1. Your Ownership

You retain full and exclusive ownership of all data, files, text, and information that you upload, generate, or store using the Service ("User Content"). We claim no intellectual property rights over the material you provide to the Service.

4.2. License to SparkyMinis

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to access, host, copy, transmit, and display your User Content solely as necessary to provide, support, and improve the Service (e.g., to synchronize your data between your devices or to generate a requested invoice PDF).

4.3. Data Portability

We acknowledge your right to data sovereignty. The Service provides tools (e.g., "Export Bundle") to allow you to extract your User Content in a structured, machine-readable format.

4.4. Confidentiality & No-Access Guarantee

We do not share your User Content with any external entity. Furthermore, our internal support staff technically cannot access your private workspace data (invoices, expenses, vault files) without your explicit permission. We maintain strict technical barriers to ensure your privacy.

5. Acceptable Use Policy

You agree not to use the Service to:

* Violate any applicable national or international law or regulation.

* Store or transmit material that violates the intellectual property rights or privacy rights of third parties.

* Upload malicious code, viruses, malware, or any other software intended to damage or utilize the Service's infrastructure excessively.

* Attempt to reverse engineer, decompile, or disassemble any portion of the Service's underlying technology.

We reserve the right to terminate your access immediately if you violate this Acceptable Use Policy.

6. Subscription and Billing

6.1. Fees

Certain features of the Service are available only with a paid subscription ("Paid Plan"). You agree to pay all fees associated with your selected Plan.

6.2. Billing Cycle and Renewal

Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it through the "Settings" dashboard prior to the renewal date.

6.3. Refunds

All payments are non-refundable.

Because SparkyMinis offers a comprehensive Free Plan that allows you to fully evaluate the Service before upgrading, we do not offer refunds (prorated or otherwise) for Paid Plans.

* Cancellation: You may cancel your subscription at any time.

* Access: Upon cancellation, you will retain access to your Paid Plan features until the end of your current paid billing cycle.

* Exceptions: We do not provide refunds for partial months, unused features, or accidental renewals.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

EXPERIMENTAL FEATURES (INCLUDING "SMART CAMERA" AND "OCR") ARE PROVIDED FOR CONVENIENCE ONLY. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY DATA EXTRACTED OR GENERATED BY THESE AUTOMATED TOOLS BEFORE RELYING ON IT FOR FINANCIAL OR LEGAL PURPOSES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPARKYMINIS, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

UNDER NO CIRCUMSTANCES WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXISTING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED US DOLLARS ($100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless SparkyMinis and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, India.
